Terms of service

Last updated 28 October 2026

These Terms of Service ("Terms") are a binding agreement between you and Andy Peterson, Norway, operating Paytrail ("Paytrail", "we", "us"). They govern your use of the Paytrail website, merchant dashboard, checkout pages, integrations and APIs (the "Service"). By creating an account or using the Service you accept these Terms. If you accept on behalf of a business, you confirm you are authorised to bind it.

1. Definitions

  • Merchant: a business or individual with an approved Paytrail account that accepts payments from Customers.
  • Customer: a person who pays a Merchant through a Paytrail checkout.
  • Transaction: a payment attempted or completed through the Service.
  • Balance: amounts owed to a Merchant after fees, refunds, chargebacks and reserves.
  • Payout: a transfer of Balance to the Merchant in USDC on the Solana network.
  • Payment Processor: the third-party card processor (currently Stripe) used by Paytrail.

2. Eligibility and accounts

You must be at least 18 years old and legally able to enter into contracts. You must provide accurate, complete and current information, including your legal name, brand name, website, business category, expected monthly revenue and country, and keep it updated.

You are responsible for all activity under your account and for keeping your credentials secure. We strongly recommend enabling two-step sign-in. Tell us immediately at support@paytrail.cc if you suspect unauthorised access.

3. Verification and approval

Every Merchant is reviewed before going live. You must submit a valid government-issued identity document (passport, national ID card, driver's licence or residence permit) and your country. We may request additional information at any time, including proof of address, business registration, ownership details, product information or source of funds.

We may approve, reject, or later suspend an account at our discretion, including to comply with law, Payment Processor rules or our risk policies. We are not required to give reasons where the law or our risk procedures prevent it.

4. The Service

Paytrail provides hosted checkout pages and integrations (including Komerza) that let Merchants accept card and wallet payments from Customers. Card payments are processed by the Payment Processor; Paytrail does not store full card numbers.

Paytrail is a technology and payment facilitation service. We are not a bank, and Balances are not deposits, do not earn interest and are not covered by any deposit guarantee scheme.

The Merchant is the seller of record for its goods and services. The contract of sale is between the Merchant and the Customer; Paytrail is not a party to it.

5. Fees

Processing fee: Paytrail deducts 9.5% of the order amount from each successful Transaction. This fee is charged to the Merchant and deducted from the proceeds after the Customer has paid. Example: a Customer pays $10.00; the Merchant pays $0.95 and $9.05 is added to its Balance.

Customer checkout fee: where permitted by law and card network rules, the Customer may be charged a separately itemised 2% checkout fee, shown before payment. Example: a $10.00 order costs the Customer $10.20. This fee is never added for Customers in the European Economic Area or the United Kingdom, or anywhere it is not allowed.

Processing fees are not refunded when a Transaction is refunded or charged back. We may change fees with at least 30 days' notice; continued use after the change takes effect means you accept it.

6. Payouts

Payouts are made in USDC on the Solana network to a wallet address you provide. Scheduled payouts run every Friday at 18:00 Central European Time. You may request an additional withdrawal no more than once every 48 hours, subject to a minimum of $50.

A Payout is complete only once it is confirmed on the Solana blockchain.

You are solely responsible for the accuracy of your wallet address. Blockchain transfers are irreversible; we cannot recover funds sent to an address you supplied. Network fees, token price movements and wallet compatibility are your responsibility.

We may delay, hold or reject a Payout for verification, compliance, fraud prevention, suspected policy breach, insufficient Balance, or where required by law or the Payment Processor.

7. Refunds, chargebacks and reserves

You are responsible for your own refund policy, which must be clearly shown to Customers, and for all refunds, chargebacks, reversals, fines and penalties relating to your Transactions.

We may deduct these amounts, plus any processor dispute fees, from your Balance or future Transactions, or invoice you if your Balance is insufficient. You must cooperate with dispute investigations and provide evidence promptly.

We may hold a rolling or fixed reserve, or delay availability of funds, based on risk, chargeback rates, refund rates, business type or account history.

8. Your obligations

You agree to:

  • comply with all applicable laws, including consumer protection, tax, sanctions, anti-money-laundering and data protection laws;
  • comply with our Acceptable Use Policy and the rules of the Payment Processor and card networks;
  • accurately describe your products, prices, delivery times and refund terms;
  • deliver what Customers paid for and provide customer support;
  • only process Transactions for your own genuine sales, never for third parties;
  • keep any API keys, webhook secrets and integration credentials secure.

9. Integrations

If you connect a third-party platform such as Komerza or SellAuth, you authorise us to access it using the credentials you provide in order to look up orders and mark them as paid or delivered. Your use of those platforms is governed by their own terms. We are not responsible for their availability, errors or delivery of your goods.

10. Taxes

You are responsible for determining, collecting, reporting and paying any taxes on your sales, including VAT and sales tax. Paytrail's fees are exclusive of any applicable taxes. We may be required to report Transaction information to tax authorities.

11. Suspension and termination

You may close your account at any time by contacting us, after any outstanding obligations are settled.

We may suspend or terminate your account, refuse Transactions or hold funds immediately if you breach these Terms or the Acceptable Use Policy, if we suspect fraud or illegal activity, if required by law or the Payment Processor, or if your account poses unacceptable risk.

After termination we may hold your Balance for up to 180 days to cover refunds, chargebacks and other liabilities, after which any remaining amount will be paid out to you, unless the law requires otherwise.

12. Intellectual property

Paytrail and its software, design and branding belong to us or our licensors. We grant you a limited, non-exclusive, non-transferable licence to use the Service for your business during your subscription. You grant us permission to display your brand name and logo on checkout pages you create.

13. Privacy

Our Privacy Policy explains how we process personal data. As a Merchant, you are responsible for providing your own privacy notice to your Customers and for having a lawful basis to share their data with us.

14. Disclaimers

The Service is provided "as is" and "as available". To the extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose and uninterrupted or error-free operation. We do not guarantee that any Transaction will be approved by the Payment Processor or card issuer.

15. Limitation of liability

To the extent permitted by law, we are not liable for indirect or consequential losses, lost profits, lost revenue, lost data or reputational damage. Our total liability arising from or relating to the Service in any 12-month period is limited to the processing fees you paid us in that period.

Nothing in these Terms limits liability that cannot be limited by law, including liability for gross negligence or wilful misconduct.

16. Indemnity

You will compensate us for any claims, fines, penalties, losses and reasonable costs arising from your products, your breach of these Terms, your violation of law or third-party rights, or disputes with your Customers.

17. Changes to these Terms

We may update these Terms. For material changes we will give at least 30 days' notice by email or in the dashboard. The "Last updated" date shows the current version.

18. Governing law and disputes

These Terms are governed by the laws of Norway. Any dispute will be brought before the Oslo District Court (Oslo tingrett) as the agreed venue, unless mandatory law gives you the right to another venue. We encourage you to contact us first so we can try to resolve the issue informally.

19. General

If any part of these Terms is unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganisation or sale. These Terms, the Privacy Policy and the Acceptable Use Policy form the entire agreement between us.
